Deciding on a formation for your business is important. Among other things, it has an impact on:

  • How much tax you pay
  • What you can do with your profits
  • Your personal liability if something goes wrong
  • Your set up costs
  • Your ongoing paperwork
  • How easy it will be to sell your business or change ownership  

Some of your business structure options include:

  • Sole Proprietorship
  • Limited Liaibility Company (L.L.C)
  • Partnership
  • Corporation

What to think about in choosing a business structure

There are may factors that go into a decision regarding choice of entity.  Some of the things you need to consider include:

  • How many owners will there be?
  • Will there be employees?
  • Will you operate in more than one state?
  • Is insurance available to protect you against potential liability?

Buying an existing business

Perhaps you are purchasing an existing business. Even if it has been running successfully for many years, there is a lot to consider. For example:

  • Are you purchasing the business assets, or the actual business entity, such as a Corporation or Limited Liability Company?
  • If the seller providing any financing?
  • Will the seller stay on in some capacity for any period?
  • Will there be a non-compete or non-solicitation agreement?
  • Will employees continue, and if so, under what terms and conditions?
  • Are there leases or other contracts and agreements that are critical to the business?
